These Terms of Service (“Terms”) govern your access to and use of The Grid platform, including its digital applications, physical locations, services, and artificial intelligence systems (collectively, the “Platform”).
The Platform integrates:
- Hospitality environments (hotels, coworking, wellness)
- Digital infrastructure (applications, marketplace)
- AI-powered services (MILA)
By accessing or using the Platform, you agree to be bound by these Terms.
Definitions
- “The Grid”: The platform operator and its affiliates
- “Platform”: All services, locations, and systems
- “MILA”: The proprietary AI engine powering personalization and recommendations
- “User” / “Member”: Any individual or entity using the Platform
- “Services”: Bookings, networking, marketplace, events, AI features
- “Content”: Any information submitted or generated on the Platform
- “Credits”: Non-transferable, closed-loop digital credits used within the Platform
Eligibility & Membership
You must:
- Be at least 18 years old
- Provide accurate information
- Maintain account security
The Grid reserves the right to:
- Approve or reject applicants
- Suspend or terminate accounts
Services
AI Services (MILA)
- Personalized recommendations
- Matchmaking and scheduling
- Environment and experience optimization
Marketplace & Bookings
- Rooms, coworking, wellness, dining, and events
Community Network
- Connections between founders, investors, professionals
Credits System
- Rewards for participation
- Access to services
User Conduct
You agree not to:
- Misuse the Platform
- Provide false information
- Engage in harmful or unlawful conduct
Payments
- All purchases are binding unless stated otherwise
- Prices may change dynamically
- Refunds subject to specific policies
Pyhsical Locations
Use of Grid spaces requires:
- Compliance with rules
- Respect for others
The Grid is not liable for:
- Personal injury (except gross negligence)
- Lost or stolen property
Intellectual Property
The Grid owns all:
- Technology
- Branding
- AI systems (MILA)
Users grant a license to use their Content for Platform operation.
Third-Party Services
The Grid may integrate third-party providers and is not responsible for their services.
Disclaimers
The Platform is provided “as is”.
No guarantees are made regarding:
- Results (business, employment, investment)
- AI accuracy
- Platform availability
Limitation of Liability
The Grid is not liable for:
- Indirect or consequential damages
- Loss of profits or opportunities
- Decisions based on AI outputs
Termination
Accounts may be suspended or terminated at The Grid’s discretion.
Governing Law
These Terms are governed by:
The laws of the State of Florida, United States

Part II — Credit System
GRiD Credits
Credits are:
- Closed-loop, non-transferable
- For use within The Grid ecosystem only
They may be used for:
- Bookings
- Experiences
- Services
No Monetary or Investment Value
Credits:
- Have no cash value
- Cannot be redeemed for currency
- Are not investments or securities
Credit Limitations
Credits:
- May expire
- May be revoked or modified
- Are subject to usage rules
Regulatory Position
Credits are structured as:
- Promotional / loyalty credits
They are not:
- Securities
- Financial instruments
Tax Responsibility
Users are responsible for any tax obligations related to Credits.
Part III — AI Terms (MILA)
AI System
MILA powers:
- Personalization
- Recommendations
- Matching and optimization
AI Limitations
MILA outputs:
- May be inaccurate
- Are not professional advice
Users remain responsible for decisions.
Part IV — EU AI Act Compliance
AI Risk Framework
MILA is classified as:
- Limited-risk AI system, with safeguards for higher-risk use cases
Transparency
Users are informed:
- When interacting with AI
- When outputs are AI-generated
Human Oversight
Where required:
- Users may request human review

Introduction-Only Model

- Does not handle funds
All deals occur externally.
No Investment Advice
All content (including MILA outputs):
- Is informational only
- Not financial advice
Accredited Investors
Users represent they are:
- Accredited investors, if applicable
- Or otherwise legally permitted
Legal Compliance
Users must comply with:
- U.S. federal securities laws
- Florida securities laws
Risk Disclosure
Investments involve:
Liability Limitation
The Grid is not liable for:
- Investment outcomes
- User conduct
AI in Investment Context
MILA:
- May suggest opportunities
- Does not provide financial advice
Part VII — Privacy Policy

Dispute Resolution
48.1 Informal Resolution First
Before initiating any legal action, you agree to attempt to resolve any dispute, claim, or controversy (“Dispute”) arising out of or relating to these Terms or the Platform by contacting:

Both parties agree to make a good-faith effort to resolve the Dispute informally within 30 days.
Binding Arbitration
49.1 Agreement to Arbitrate
Except as expressly provided below, any Dispute shall be resolved exclusively through final and binding arbitration, rather than in court.
49.2 Arbitration Rules
Arbitration shall be administered by:

in accordance with its:
- Consumer Arbitration Rules or
- Commercial Arbitration Rules, as applicable
49.3 Location
- Arbitration shall take place in Miami-Dade County, Florida, unless otherwise agreed.

The arbitrator shall have exclusive authority to:
- Resolve all disputes
- Interpret these Terms
- Determine enforceability of this arbitration clause
49.5 Remedies
The arbitrator may award:
Only to the extent permitted by law and consistent with these Terms.
Class Action Waiver
50.1 Waiver of Collective Actions
To the fullest extent permitted by law, you agree that:
Any Dispute will be resolved on an individual basis only.
You waive the right to:
- Participate in a class action
- Join a collective or representative lawsuit
- Act as a private attorney general
Jury Trial Waiver
To the fullest extent permitted by law, you and The Grid agree to:
Waive any right to a trial by jury in any legal proceeding.
Exceptions to Arbitration
This arbitration requirement does not apply to:
- Claims that qualify for small claims court
- Intellectual property disputes
- Requests for injunctive relief to prevent misuse of the Platform
Such claims may be brought in:
State or federal courts located in Miami-Dade County, Florida
Opt-Out Right
You may opt out of this arbitration agreement by sending written notice within:
30 days of first accepting these Terms

- You retain the right to pursue claims in court
- All other Terms remain in effect
Severability
If any portion of this section is found unenforceable:
- The remainder shall remain in full force
- The unenforceable portion shall be modified to reflect the original intent as closely as possible
